Welcome to Chengdu Monao Technology Co., Ltd. ("we", "us", or "our"), a company incorporated under the laws of mainland China with its registered address at Building 1, No. 10 Jiuxing Avenue, Chengdu High-tech Zone, China.

These Terms of Service ("Terms") govern your access to and use of our services, including MONKNOW New Tab, which consists of the browser extension, our website, and related productivity features, available at https://www.monknow.com (the "Service").

By creating an account, subscribing to any plan, purchasing a subscription, or otherwise using the Service, you confirm that you: (a) are at least 18 years of age; (b) have read, understood, and agree to be bound by these Terms; (c) agree to our Privacy Policy; and (d) are authorized to enter into this agreement on behalf of yourself or any organization you represent.

Important: If you do not agree to these Terms, you may not use the Service. Continued use after any update constitutes acceptance of the revised Terms.

1. Service Description

1.1 What We Provide

We provide MONKNOW New Tab with a customizable new-tab experience, bookmarks, to-dos, search, and related productivity features.

1.2 Nature of the Service

The Service is a digital, intangible product. Upon confirmed payment, access is granted immediately. Due to the immediate digital delivery, specific limitations apply to refunds as described in Section 6.

1.3 Software License

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, and revocable license to download, install, and use MONKNOW New Tab. You may not sublicense, sell, or otherwise transfer this license.

2. Account Registration & Eligibility

2.1 Account Creation

To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

2.2 Account Security

• Notify us immediately of any unauthorized use at help@monknow.com.
• Do not share your credentials with any third party.
• Keep your billing email address up to date.

2.3 Business Accounts

If you register on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

3. Subscription Plans

We offer monthly and annual membership plans. Each subscription provides access to the features included in the selected plan during the applicable subscription period. Current plan features and pricing are available on our pricing page.

We reserve the right to modify plan features or introduce new plans at any time. Price changes are governed by Section 4.1.

4. Billing & Payment

4.1 Recurring Billing Authorization

By providing your payment method and subscribing to a paid plan, you expressly authorize us and our Payment Provider to charge your payment method on a recurring basis for the applicable subscription fee. This authorization remains in effect until you cancel in accordance with Section 5.

Your subscription renews automatically at the end of each billing period unless canceled. We will send advance notice by email before the renewal of any annual subscription.

4.2 Taxes

Subscription fees and applicable taxes will be displayed at checkout. Applicable VAT, GST, sales tax, or similar charges may be added as required by law.

4.3 Failed Renewal

If a renewal payment fails, membership benefits may be suspended and the subscription may be canceled. We may notify you by email when a renewal payment fails or your membership is canceled.

5. Cancellation Policy

5.1 How to Cancel

• Online (recommended): In MONKNOW New Tab: Settings → General → User Information, then select the cancellation option.
• Email: Send a cancellation request from the email address associated with your account to help@monknow.com.

Cancellation takes effect immediately. A confirmation email will be sent within ten (10) minutes.

5.2 Effect of Cancellation

• Your subscription remains active until the end of the current billing period.
• You will not be charged for subsequent billing periods.

6. Refund Policy

6.1 General Policy

Subscription fees are generally non-refundable after the applicable subscription period has been used, except as described below or where a refund is required by applicable law.

6.2 Eligible Refunds

• A full refund is available for duplicate charges and confirmed billing errors.
• If a verified service outage within our control lasts for seventy-two (72) consecutive hours or more, we will provide a pro-rated refund or credit for the affected period.
• Statutory withdrawal or refund rights provided by applicable law are preserved.

6.3 How to Request a Refund

Contact help@monknow.com from the email address associated with your account. Include your account email address, transaction ID, and reason for the request. We will acknowledge your request within two (2) business days and process approved refunds within five (5) to ten (10) business days.

6.4 Non-Refundable Items

• Fees for subscription periods already used.
• Subscriptions terminated for violating these Terms or the Acceptable Use Policy.

7. Billing Disputes

If you believe there is an error in a charge, contact us at help@monknow.com before disputing the charge with your bank. We will acknowledge your request within two (2) business days and work to resolve confirmed billing errors within five (5) business days.

8. Acceptable Use Policy

You may use the Service only for lawful purposes. You agree not to:

• Use the Service for illegal, defamatory, harassing, or fraudulent purposes.
• Generate, distribute, or facilitate malware, phishing content, or cyberattack tools.
• Infringe the intellectual property, privacy, or other rights of any third party.
• Circumvent or interfere with security features of the Service.
• Resell, sublicense, or share access to the Service without prior written approval.
• Use the Service to violate any applicable law, regulation, or card network rule.
• Upload or transmit content that is unlawful or that you do not have the right to use.
• Use automated means to scrape, extract, or harvest data from the Service at scale.

9. Data, Privacy & Security

Your use of the Service is governed by our Privacy Policy. Payment card data is processed exclusively by the applicable Payment Provider—Waffo Pancake for users outside mainland China and Alipay for users in mainland China—and is not stored on our servers. Account data is retained for ninety (90) days following cancellation and then deleted in accordance with our Privacy Policy, unless a longer retention period is required by law.

10. Disclaimers & Limitation of Liability

10.1 Disclaimer of Warranties

THE SERVICE AND LICENSED SOFTWARE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AVAILABILITY, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHENGDU MONAO TECHNOLOGY CO., LTD. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

11. Term & Termination

These Terms remain effective while you use the Service. We may suspend or terminate your account if you materially breach these Terms, we suspect fraudulent activity, or as required by law.

If we terminate your account for reasons other than your breach of these Terms, we will provide a pro-rated refund for any unused prepaid subscription period.

You may delete your account at any time by contacting us at help@monknow.com.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of mainland China. Before initiating any formal proceedings, please contact us at help@monknow.com to attempt informal resolution. Any unresolved dispute shall be submitted to the competent courts in mainland China, subject to any mandatory rights you may have under applicable law.

13. General Provisions

We may update these Terms at any time. Material changes will be notified by email at least fourteen (14) days before the effective date. Continued use of the Service constitutes acceptance of the updated Terms. If any provision is found to be unenforceable, the remainder of these Terms will continue in full force and effect.
